Welcome to French Unlocked (the “French-Unlocked”). The Site is owned and operated by French Unlocked, an Ontario-registered business (“French Unlocked,” “we,” “us,” “our”). By accessing or using any part of the Site, purchasing any product, or subscribing to any service, you (“User,” “you,” “your”) agree to be bound by these Terms and Conditions (“Terms”). If you do not accept every provision below, please do not use the Site.
1. Definitions
- “Services” – all language-learning offerings on the Site, including private or semi-private lessons, the Sip & Talk subscription, downloadable resources, videos, PDFs, webinars, and email or chat support.
- “Subscription” – the auto-renewing Sip & Talk membership plan described in § 6.
- “Content” – all text, graphics, lesson plans, audios, videos, PDFs, and other materials we provide.
- “Personal Data” – information that identifies or can reasonably identify an individual (e.g., name, email, phone) collected under our Privacy Policy.
2. Eligibility
You must be (a) at least 18 years old or (b) between 13 and 17 with verified parental consent to create an account or purchase Services. By using the Site, you warrant that you satisfy this requirement.
3. Account Creation & Security
You may need an account to access certain Services. You agree to provide accurate information, keep credentials confidential, and notify us immediately of unauthorized use. You are responsible for all activities that occur under your account.
4. Description of Services
French Unlocked offers:
- Individual and semi-private live online lessons delivered via videoconference platforms;
- The Sip & Talk Subscription – weekly group conversation sessions with auto-renewing billing;
- Digital products such as e-books and worksheets;
- Free lead magnets (e.g., sample PDFs) provided in exchange for Personal Data.
Service details, schedules, and pricing appear on the Site and may change at our discretion (§ 14).
5. Payments
- All prices are listed in Canadian dollars and are exclusive of applicable taxes.
- Payments are processed through secure third-party processors (e.g., Stripe, PayPal). We never store full credit-card data on our servers.
- By submitting payment information, you authorize us (or our processor) to charge the stated amount.
6. Subscription Terms (Auto-Renewal)
- Sip & Talk Billing Cycle. Your Subscription bills automatically every [month / quarter] to your saved payment method until you cancel.
- Cancellation Window. To avoid the next charge, email cancel@french-unlocked.com no later than fifteen (15) calendar days before your scheduled renewal date.
- No Partial Refunds. Access continues until the end of the paid period. We do not prorate unused time.
- Price Changes. We will give at least 30 days’ email notice of any price increase, after which continued use constitutes acceptance.
7. Rescheduling, Cancellations & Refunds (Non-Subscription Lessons)
- Live lessons may be rescheduled once, free of charge, if you notify us ≥ 24 hours in advance.
- No-shows or < 24 h cancellations are charged in full.
- Digital products: all sales are final once download links are delivered, except where required by law.
- If a class is canceled by French Unlocked due to our technical fault, we will reschedule at no cost or issue a credit, at our sole discretion.
8. License to Content & Acceptable Use
8.1 Personal-Use License
Upon valid purchase or subscription, we grant you a non-exclusive, non-transferable, revocable license to access and use the Content solely for your personal, non-commercial learning.
8.2 Restrictions
You may not:
- Share, sublicense, distribute, or publicly display any Content;
- Record live sessions without written consent;
- Reverse-engineer, scrape, or attempt to extract source code;
- Use the Site to harass, defame, or infringe the rights of others.
Violation may result in immediate suspension and potential legal action.
9. Intellectual Property Rights
All intellectual-property rights in the Site and Content belong to French Unlocked or its licensors and are protected by Canadian and international laws. All trademarks, logos, and service marks are our property. Using them without written permission is prohibited.
10. User-Generated Content
If you submit comments, testimonials, homework, or other materials (“UGC”), you grant French Unlocked a worldwide, royalty-free license to use, reproduce, adapt, and display such UGC for legitimate business purposes (e.g., marketing), unless you revoke consent in writing.
11. Privacy & Data Protection
Collection, use, and storage of Personal Data are governed by our Privacy Policy, which forms part of these Terms. By using the Site, you consent to the processing of your Personal Data in accordance with PIPEDA and, where applicable, the EU GDPR.
12. Disclaimers
- Educational Purpose. Content is provided “as-is” for language learning only; we make no guarantees about proficiency outcomes.
- No Warranties. To the maximum extent permitted by law, French Unlocked disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
- Third-Party Platforms. Video classes rely on third-party software (e.g., Zoom). We are not liable for their downtime or security.
13. Limitation of Liability
To the fullest extent allowed, French Unlocked, its directors, and employees shall not be liable for any indirect, incidental, special, or consequential damages, or for lost profits or data, arising from your use of the Site or Services, even if advised of the possibility. In any event, our total liability shall not exceed the greater of (a) CAD $100 or (b) the amount you paid in the three months preceding the claim.
14. Modifications to the Site or Terms
We may update the Site or these Terms at any time. Material changes will be posted here with a new “Last updated” date and, if you have an account, emailed to you. Continued use after changes take effect constitutes acceptance.
15. Indemnification
You agree to defend, indemnify, and hold harmless French Unlocked from any claims, damages, or expenses (including legal fees) arising out of your breach of these Terms or unlawful use of the Site.
16. Governing Law & Jurisdiction
These Terms are governed by the laws of the Province of Ontario and federal laws of Canada. Any dispute shall be resolved exclusively in the courts of Ontario, Toronto judicial district, except where prohibited by law.
17. Severability
If any provision of these Terms is found unenforceable, the remainder remains in full force, and the invalid portion shall be interpreted to best effectuate its intent.
18. Entire Agreement
These Terms, together with the Privacy Policy and any Service-specific agreements, constitute the entire agreement between you and French Unlocked and supersede all prior understandings.
